1. Acceptance of Terms

By accessing or using the Soarenity website (soarenity.ai) and its services—including the marketplace, U-Craft, AI agents (Soarenity Blue, Black, Silver), APIs, software, and mobile/desktop applications—you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Site or Services.

2. Changes to Terms

Soarenity may update or modify these Terms at any time. Changes take effect upon posting. Continued use of the Site or Services after any changes constitutes acceptance.

3. User Accounts

• You must be at least 18 years old or have parental consent to use the Services.
• Provide accurate, complete information when creating an account.
• You are responsible for maintaining the confidentiality of your credentials and all activities under your account.
• Soarenity reserves the right to suspend or terminate accounts for violations or suspicious activity.

4. Use of Services

• No unlawful, harmful, fraudulent, or abusive activities are permitted.
• No scraping, reverse engineering, or unauthorized access is allowed.
• AI agents and automation tools must be used in compliance with all applicable laws and regulations.
• No reselling or redistribution of our services or data without written permission.
• Automated tools or bots not provided by Soarenity are prohibited.

5. Orders, Payments, and Refunds

• All orders and subscriptions are subject to acceptance and availability.
• Payments are securely processed through authorized payment providers; valid payment details are required.
• Refunds will be considered and handled on a case-by-case basis at Soarenity’s sole discretion. All refund requests must be submitted via our contact form at soarenity.ai/contact.
• Physical product sales (including U-Craft 3D prints) and digital services (AI generations, software licenses) are generally final unless otherwise stated or required by law.

6. Commission & Credits

• When the commission system is fully operational, all credits earned prior will be available to the customer immediately.
• Credits earned through commissions are exchanged at a rate of 1 credit = 1 US dollar.
• Blue-Generated marketplaces are subject to a 0.5% commission fee to Soarenity.
• Users earn commission for products they push to the general marketplace.
• Soarenity earns commission for products we add to user marketplaces, which may include a minor markup on such products.
• Commission rules and rates are subject to change; all changes will be communicated and posted on this page.

7. Intellectual Property

All content, code, trademarks, and services on Soarenity.ai are the property of Soarenity LLC or its licensors. No copying, distribution, or use of materials is allowed without explicit permission except for personal, non-commercial use.

8. User Content & Conduct

• You are responsible for any content you upload or submit (including 3D models, images, text prompts, etc.).
• No uploading or creating content that is illegal, offensive, infringing, or violates any rights.
• Soarenity may remove or refuse any content at its sole discretion.

9. Privacy & Data

Your data is collected, stored, and used according to our Privacy Policy. You consent to our collection of device ID, IP address, name, email, and usage data for security and service purposes. We never sell or share your personal data except as required by law.

10. Disclaimers & Limitation of Liability

• Services are provided “as is” and “as available” without warranty of any kind.
• Soarenity is not liable for any direct, indirect, incidental, or consequential damages arising from use or inability to use the Site or its services.
• We do not guarantee uptime, error-free operation, or that AI-generated results will be suitable for any specific purpose.

11. Indemnification

You agree to indemnify and hold harmless Soarenity LLC, its affiliates, officers, and employees from any claims, damages, or expenses arising from your use of the Services or violation of these Terms.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Texas, USA. Any disputes shall be resolved exclusively in the courts of Montgomery County, Texas.

Soarenity Silver App — Supplemental Terms

Effective for users of the Soarenity mobile application as of October 3, 2025

These Supplemental Terms (“Silver Terms”) apply to your use of the Soarenity app and related services and are incorporated by reference into the Soarenity Terms of Service above. "Soarenity app", "Soarenity Silver" and "Soarenity Silver app" in any combination are treated as one in the same for the purpose of these terms and conditions. In the event of a conflict, these Silver Terms govern for the Silver app and associated services.

A. Definitions

• “Silver” collectively refers to the avatar, voice, and AI that power Soarenity’s customer-facing bot deployed in the Soarenity app (including any kiosk, tablet, mobile, desktop, or embedded configuration).
• “App” means the Soarenity Silver application and any related software components, integrations, and media.
• “Usage” means metered service consumption recorded by Soarenity systems and/or partners (e.g., number of requests, tokens processed, minutes of audio generated or transcribed, storage, bandwidth, or comparable metrics).

B. Acceptance

By installing, enabling, or using the App or Silver, you acknowledge and agree to these Silver Terms in addition to the Terms of Service above.

C. AI, Accuracy, and No Professional Advice

• Silver uses artificial intelligence and may generate incorrect, incomplete, delayed, or inappropriate output. You are solely responsible for reviewing and verifying all outputs before relying on them.
• Silver’s output is provided for informational purposes only and does not constitute legal, medical, financial, safety, compliance, or other professional advice.
• To the maximum extent permitted by law, Soarenity disclaims all warranties, and is not responsible for errors, omissions, or decisions made in reliance on Silver’s output.

D. Device Requirements & Performance

• Lower-end devices may experience performance limitations, degraded quality, or delayed responses. Actual performance depends on your hardware, network, and environment.
• The App is optimized for use on tablets, specifically the Samsung Galaxy Tab A9+. Other devices may function but could exhibit reduced performance or features.
• You are responsible for providing reliable power, network connectivity, and environmental conditions suitable for microphones and speakers.

E. Subscription, Billing & Refunds

• Silver Subscription. The Silver subscription covers maintenance, monitoring, and support for the App. Usage charges are billed separately based on metered consumption.
• Usage Billing. Usage is measured from service logs and/or partner reports and may include, without limitation, AI processing, speech-to-text, text-to-speech, data transfers, storage, and related operations. Usage may be rounded to reasonable billing increments.
• Fees & Changes. Fees, rates, and billing increments may change prospectively upon notice posted on this page or within your account. Taxes, regulatory fees, and third-party surcharges (if applicable) are your responsibility.
• Refunds. Refunds are granted only if the issue is caused by Soarenity (as determined by Soarenity in its sole discretion) and as permitted by law. All refund requests must be submitted via the contact form at soarenity.ai/contact. By subscribing or paying for any services related to the App, you accept all financial risks associated with your use, including variable usage charges and device/network limitations.
• Non-Soarenity Causes. No refunds for issues arising from your hardware, settings, content, third-party providers, connectivity, or misuse.

F. Acceptable Use & Safety

• No use in high-risk, safety-critical, or emergency contexts where errors could lead to harm.
• Do not use while driving or operating machinery. Ensure appropriate signage if the App records audio.
• You must obtain all necessary consents for any personal data captured by the App, including voice recordings of end users.
• No illegal, infringing, harassing, or discriminatory use. You are responsible for content displayed or spoken by the App under your account.

G. Data, Audio & Third-Party Services

• Use of the App is subject to our Privacy Policy. The App may process audio, transcripts, and related metadata to deliver functionality and improve services.
• Silver may rely on third-party providers (e.g., cloud hosting, speech services, or AI models). Their terms may apply; availability may vary; outages or rate limits may occur.
• You consent to processing and storage of data by Soarenity and its providers consistent with the Privacy Policy and applicable law.

H. License & Restrictions

• Soarenity grants you a limited, revocable, non-exclusive, non-transferable license to use the App for your internal business purposes.
• No copying, modifying, sublicensing, reverse engineering, or circumventing technical protections.
• Soarenity may update, suspend, or discontinue features at any time.

I. Service Availability & Support

• Service levels are not guaranteed. Maintenance windows and provider limitations may affect availability.
• Support is provided for active subscribers through designated channels. Response times may vary.

J. Liability Allocation for Silver

• These Silver Terms supplement the “Disclaimers & Limitation of Liability” above. To the maximum extent permitted by law, Soarenity’s aggregate liability for claims arising from or related to Silver will not exceed the amounts you paid to Soarenity for Silver in the three (3) months preceding the event giving rise to liability.
• You will indemnify Soarenity against claims arising from your configurations, prompts, content, failure to obtain necessary consents, or misuse of the App.

Notice: These Silver Terms are intended to address the unique aspects of AI-driven, voice-enabled interactions and device variability. They do not constitute legal advice. Consult your legal counsel to ensure compliance with local laws and your specific use case.

Launch Day Special: Official Terms & Conditions

These terms apply specifically to all Launch Day promotions, sweepstakes, gifts, and contests featured on soarenity.ai or in any Soarenity marketing. They are in addition to all other terms on this page. Please read carefully.

• User Eligibility:
  To be eligible for any Launch Day prize, contest, sweepstakes, or free gift, you must (a) be at least 18 years old or have parental consent, (b) have a Soarenity user account, and must sign in using your Google account to verify eligibility. Special event ends 7 days after launch day at midnight CST
• Launch Day Sweepstakes & Free Month of Blue Subscription:
  No purchase is required. To enter, generate a product using U-Craft and share a screenshot of your creation on a public social media platform (such as Twitter/X, Instagram, Facebook, or TikTok). Then, email a screenshot or link to your public post to support@soarenity.ai from the email associated with your Soarenity account.
  The first 10 eligible entries will receive a free month of Blue subscription. Limit one entry per user/account. Odds of winning depend on the number of entries received. No purchase or payment is necessary to win.
• Design Contest ($100 Amazon Gift Card):
  No purchase required. To enter, use U-Craft to create your design, then email your entry (image or 3D file) to support@soarenity.ai using your Soarenity Google account email.
  One winner will be selected based on creativity and originality by Soarenity staff. Decisions are final. Prize: one (1) $100 Amazon.com gift card (subject to Amazon's gift card terms). Winners will be notified by email.
• Launch Day Mystery Gift:
  With your first qualifying purchase on Soarenity.ai, you will receive a free mystery gift: a 3D printed object designed and printed by Soarenity Blue. If you have filled out your profile personalization fields, your mystery gift will be tailored based on those details. Gift has no cash value, cannot be exchanged, and is provided at Soarenity’s discretion. One mystery gift per user/account. Shipping may be limited to select regions (contact support for eligibility).
• General Promotional Terms:
  Launch Day offers are available for a limited time and subject to change or early termination at any time. Soarenity may substitute a prize or gift of equal or greater value. All entries must comply with our rules and be submitted from an eligible, verified Google account. Any attempt at fraud or abuse will result in disqualification.
• Data, Verification, & Publicity:
  All winners must provide valid proof of identity via their Google account. By participating, you agree Soarenity may use your first name, submitted designs, and social handle (if provided) in winner announcements and marketing, unless you request otherwise in writing.
• Legal Notice:
  This promotion is not sponsored, endorsed, or administered by or associated with Google, Amazon, Meta, Instagram, Twitter/X, TikTok, or any social platform. All trademarks are property of their respective owners. Void where prohibited. Subject to all applicable laws and regulations.
• Taxes:
  Winners are responsible for any federal, state, or local taxes associated with their prize. Soarenity will not provide tax advice.
• Disputes:
  Any disputes arising from the Launch Day Special will be handled according to the Dispute Resolution terms above.
